1. Acceptance of Terms

These Terms and Conditions ("Terms", "Agreement") constitute a legally binding contract between you (either an individual consumer diner ("Diner") or an authorized restaurant owner, operator, general manager, or corporate representative ("Merchant")) and Christopher Istvan (Founder) ("Dishfuls", "we", "us", or "our"), governing your access to and use of Dishfuls.com, our proprietary dish search directory, and our Point-of-Sale (POS) synchronization platforms.

BY BROWSING OUR SITE, SUBMITTING A WAITLIST LEAD, CLAIMING A KITCHEN PROFILE, EMBEDDING A DISHFULS WIDGET, OR PURCHASING A SUBSCRIPTION, YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE, YOU MUST IMMEDIATELY DISCONTINUE ALL ACCESS.

2. Platform Architecture & Service Offerings

2.1 Consumer Discovery Engine (Diner Offering)

Dishfuls indexes 158,000+ verified direct kitchens nationwide across 70+ regional food profiles. We benchmark authentic in-store kitchen prices against third-party delivery apps to provide transparent savings comparisons, allowing Diners to bypass the 15% to 28% inflated markups common on delivery marketplaces.

0% Commission Direct Ordering Routing: Dishfuls directs diners directly to the restaurant's native online ordering portal, direct phone line, or verified Google/Apple Maps interface without assessing per-order commission cuts against the kitchen.

2.2 Dishfuls Menu Sync Engine (Merchant Commercial Subscriptions)

Dishfuls provides commercial restaurant subscription packages that unify municipal SEO visibility with real-time POS menu synchronization:

3. Accounts & Merchant Verification

Any user claiming a restaurant profile or ordering commercial services represents and warrants that they possess full corporate authority to legally bind the establishment. Dishfuls reserves the right to audit municipal business licenses, state corporate filings, and phone verifications prior to activating verified merchant status.

Anti-Bot Challenges & Security Controls: Dishfuls employs dynamic mathematical captchas, session tokens, and cryptographic honeypots to protect all interactive forms from automated scripts and scraping tools.

4. Subscriptions, Billing & Cancellations

Non-Perpetual Subscription: Commercial licenses are granted strictly on a recurring monthly or annual subscription basis. No perpetual software ownership is conveyed.
Automatic Billing: You authorize Dishfuls to charge your declared payment method for recurring monthly fees, additional location add-ons ($15/mo/location), and push upgrades ($9/mo).
Cancellation Policy: You may cancel your subscription at any time via the merchant console or by emailing concierge@dishfuls.com. Cancellations take effect at the end of the current paid billing cycle without prorated refunds.
Immediate Deactivation: Upon cancellation or payment default, real-time sync terminates immediately, instant 86 routing is severed, and all domain-embedded widgets must be deleted from merchant sites within 24 hours.

5. Site & Widget Licensing

Location-Based Site License: Each commercial subscription is licensed strictly for the specific physical restaurant location(s) authorized during onboarding. Utilizing credentials to syndicate unbilled outlets constitutes a material breach.

Domain-Restricted Embed Widgets: Merchants receive a revocable, non-exclusive license to embed Dishfuls menu widgets solely on their declared website domains and authorized URLs. Embedding on unauthorized portals or scraping feeds is strictly forbidden.

6. Point-of-Sale (POS) & Third-Party Delivery Integrations

Dishfuls synchronizes menu pricing, item availability, and modifier structures across Toast POS, Clover, Square for Restaurants, Lightspeed, NCR Aloha, SpotOn, Shift4, DoorDash, UberEats, and Grubhub.

Merchants remain solely responsible for maintaining valid third-party API credentials, webhook tokens, and developer agreements.
Dishfuls makes no warranties regarding the uptime, latency, or rate-limiting practices of third-party delivery platforms.
The restaurant remains the sole authority for final menu item accuracy, pricing legality, alcohol age-verification requirements, and sales tax compliance.

7. Proprietary Closed-Source Rights

All source code, database structures, search index algorithms, user interfaces, branding emblems, and telemetry handshakes are the exclusive intellectual property of Christopher Istvan (Founder). The software is closed-source. You may not reverse engineer, decompile, mirror, or extract our algorithms or backend database files under any circumstances.

8. Strict AI Model Training Prohibition

Prohibition on Machine Learning / AI Ingestion: You are strictly prohibited from using, and shall not permit any third party to use, any content, data, dish pricing baselines, or code from Dishfuls to train, test, develop, evaluate, or fine-tune any artificial intelligence models, neural networks, or large language models (LLMs). Furthermore, employees, agents, and automated crawlers of AI training entities are barred from querying or harvesting Dishfuls feeds.

9. Consumer Disclaimers & Food Safety

Dishfuls is an informational directory and synchronization platform. We do not prepare food, operate commercial kitchens, or employ delivery drivers. All culinary preparation, food hygiene, ingredient handling, and allergen compliance are the sole legal responsibility of the preparing restaurant. Diners with severe allergies must confirm allergen protocols directly with kitchen staff.

10. Disclaimer of Warranties & 11. Limitation of Liability

THE PLATFORM AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. DISHFULS EXPRESSLY DISCLAIMS ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND UNINTERRUPTED OPERATION.

IN NO EVENT SHALL CHRISTOPHER ISTVAN (FOUNDER), DISHFULS, OR ITS AFFILIATES BE LIABLE FOR ANY INCIDENTAL, INDIRECT, SPECIAL, OR CONSEQUENTIAL DAMAGES (INCLUDING LOSS OF PROFITS, DATA, OR THIRD-PARTY DELIVERY APP PENALTIES). OUR TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE FEES PAID BY YOU TO DISHFULS IN THE THREE (3) MONTHS PRECEDING THE CLAIM.

12. Indemnification & 13. Dispute Resolution

You agree to defend, indemnify, and hold harmless Dishfuls and Christopher Istvan against any claims, losses, or legal expenses arising from your violation of these Terms, food safety incidents at your kitchen, or intellectual property disputes regarding your uploaded menu assets.

Governing Law: These Terms are governed by the laws of the State of Florida, USA. All legal actions must be resolved in state or federal courts situated in Florida. ALL DISPUTES MUST BE RESOLVED ON AN INDIVIDUAL BASIS; YOU EXPRESSLY WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.
