Affiliate & Sales Referral Partner Agreement

1. Welcome to the Dishfuls Partner Program

Dishfuls rewards technology consultants, restaurant sales specialists, integration engineers, food creators, and industry advocates who introduce restaurant operators to our menu synchronization and 0% direct commission ordering platform. Our Affiliate and Referral Program is designed to be mutually profitable, transparent, and professionally sustainable.

This Affiliate & Sales Referral Partner Agreement ("Agreement") sets forth the binding terms governing your participation in the Dishfuls Referral and Affiliate Program ("Program"). By registering as an affiliate, generating custom referral links, or accepting referral credits and payouts from Dishfuls ("We", "Us", "Our", "Christopher Istvan"), you ("Affiliate", "Sales Partner", "You") agree to all terms outlined herein.

2. Commission Eligibility & Referral Qualification

2.1 Commission Structure

Active partners earn an ongoing recurring cash commission of twenty-five percent (25%) on the base monthly subscription price collected from referred restaurants for as long as the merchant maintains an active, paying subscription in good standing:

2.2 Qualified Referral Definition

A Qualified Referral is defined as a new, independent commercial restaurant merchant who:

• Registers for a paid Dishfuls subscription (Starter, Professional, or Enterprise) using your unique referral code or link (dishfuls.com/?ref=embed_[slug]);
• Successfully pays all required setup and onboarding fees;
• Maintains an active, good-standing subscription for the required minimum thirty (30) day maturation period without cancellation, billing default, or chargeback.

3. Maturation Schedule, 14-Day Holding Buffer & Payout Timing

• 30-Day Maturation Period: All pending one-time account referral credits ($25 to their account) and monthly recurring commission shares are held in a pending verification ledger for thirty (30) calendar days from the referee's initial payment date to verify active integration.
• 14-Day Payment Settlement Buffer: Cleared customer payments pass through a mandatory fourteen (14) day settlement holding window to verify bank clearance.
• Monthly Payout on the 7th: Cleared commissions are disbursed automatically on the 7th of each calendar month via Stripe, PayPal, or direct bank transfer.
• Uncapped Potential: There are zero limits or ceilings on earnings. Partners may refer an unlimited number of culinary businesses to build recurring cash flow.

4. Merchant Cancellations, Defaults & Non-Payment Terms

Dishfuls provides software services to independent third-party establishments. The financial health and business longevity of any referred merchant is beyond Dishfuls' control.

• Non-Payment Forfeiture: If a referred restaurant cancels its subscription, fails to pay an invoice, defaults, or terminates its account, the Affiliate is not entitled to any commission for uncollected periods, and future commission accruals immediately cease.
• Non-Liability for Merchant Decisions: Dishfuls and Christopher Istvan are NOT liable or legally responsible to the Affiliate for any restaurant cancellation, business closure, bankruptcy, or billing default. Commissions are contingent solely upon actual cash collected and retained.

5. Chargeback Protection & Automatic Offset / Recovery Ledger

To maintain platform solvency and protect maximum commission rates for top-performing partners, Dishfuls enforces an Offset & Recovery Ledger Policy:

• Commission Invalidation: If a referred merchant initiates a bank chargeback, payment dispute, or receives a refund for a period where commission was already paid, that commission is deemed unearned and revoked.
• Automatic Offset Absorption: Dishfuls records the refunded commission as an offset against the Affiliate's ledger.
• Deduction from Future Payouts: Dishfuls deducts and recovers the overpaid amount from the Affiliate's future earned commissions until balanced.
• Continuation of Active Payouts: All other legitimate referral commissions from active paying merchants proceed normally, subject only to the standard offset recovery.

6. Affiliate Code of Conduct & Ethical Marketing

• Minimum Age: Partners must be at least 18 years or older.
• No Spam: Unsolicited bulk email, automated DM spam, and unsolicited telemarketing are strictly prohibited.
• No Trademark Bidding: Affiliates shall not bid on trademarked search terms ("Dishfuls", "Dishfuls Menu Sync", "Christopher Istvan") in paid search ads.
• Accurate Representation: Partners must not misrepresent official published pricing ($49 Starter, $99 Pro, $249 Enterprise) or claim to be corporate executives of Dishfuls.

7. Limitation of Liability & 8. Partner Support

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL DISHFULS OR CHRISTOPHER ISTVAN BE LIABLE TO ANY AFFILIATE FOR SPECIAL, INDIRECT, OR CONSEQUENTIAL DAMAGES. DISHFULS' TOTAL CUMULATIVE LIABILITY UNDER THIS AGREEMENT SHALL NOT EXCEED COMMISSIONS ACTUALLY PAID TO THE AFFILIATE IN THE THREE (3) MONTHS PRECEDING THE CLAIM.
